Terms and Conditions of Use

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING OUR PLATFORM. BY USING ANY OF OUR SERVICES, INCLUDING BROWSING THE PLATFORM, YOU REPRESENT THAT (A) YOU HAVE READ, UNDERSTAND AND AGREE TO BE BOUND BY THESE TERMS, (B) THAT YOU HAVE CAPACITY AND AUTHORITY TO FORM A BINDING CONTRACT WITH MABEL, (C) YOUR USE OF THE SERVICES IS ENTIRELY VOLUNTARY. IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT USE OUR PLATFORM AND ITS ASSOCIATED SERVICES.

What's in These Terms?

These terms tell you the rules for using our website and any associated mobile applications (our "Platform").

Definitions and Interpretation

The following definitions apply in these Terms:

"Care Partner" means an organisation that is registered on the Platform as a provider of Care Services, having entered into a Care Partner Services Agreement with us;

"Care Seeker" means a User that is active and/or registered on the Platform for the purpose of being introduced to providers of Care Services by Mabel;

"Care Services" means the provision of nursing, personal care, home care, memory care, and residential care services to persons requiring such care;

"Consumer" has the same meaning as in the Consumer Rights Act 2015;

"Content" means all audio, video, data, text, images or other content and information made available by us through the Platform;

"Content Standards" means the standards outlined in clause 3.5;

"Contributions" means any materials that you contribute to the Platform;

"Home Care Services" means domiciliary care services provided in a person's own home;

"Interactive Services" has the meaning in clause 3.4;

"Introduction" means the introduction by Mabel of a Care Seeker to a Care Partner via the Platform;

"Listing" means a care service advertisement on the Platform, including information about services and availability;

"Mabel", "we", "our" or "us" means Mabel Ltd, a company incorporated and registered in England and Wales with company registration number [NUMBER] having our registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom;

"Memory Care Services" means specialist care services for persons living with dementia and related conditions;

"Platform" means Mabel's website and related applications provided by Mabel;

"Residential Care Services" means care services provided in care homes and residential facilities;

"Services" means those services made available by Mabel via the Platform;

"Terms" means these Terms and Conditions of Use together with any documents referred to in it;

"User, you or your" means any individual who uses the Platform.

Using Our Platform

  1. These Terms are a legal agreement between the User and us for the use of our Platform.
  2. Our Privacy and Cookie Policies set out how we process personal data and use cookies. By using the Platform, you warrant that all data provided is accurate and complete.
  3. Care Partners must comply with the terms of their Care Partner Services Agreement.
  4. By using the Platform, you accept these Terms.
  5. If you do not agree to these Terms, you must not use the Platform.
  6. You are responsible for all costs related to your use of the Platform.
  7. We may prevent or suspend your access if you do not comply with these Terms.

Acceptable Use

Platform Use

You may use the Platform only for lawful purposes. You must not use the Platform:

  • if you are under eighteen (18) years of age;
  • in breach of applicable laws or regulations;
  • in any unlawful or fraudulent manner;
  • to send material that does not comply with our content standards;
  • to interfere with other users' use of the Platform;
  • to transmit unsolicited advertising or spam;
  • to transmit harmful computer code or attempt unauthorised access.

Interactive Services

We may provide interactive services including messaging and video calls. Where provided, we will inform you about moderation arrangements. We are not obligated to oversee all interactive services and exclude liability for user breaches of content standards.

Content Standards

Content Standards apply to all your Contributions. Contributions must:

  • be accurate where stating facts;
  • be in English;
  • be genuinely held where stating opinions;
  • comply with applicable law.

Contributions must not:

  • be defamatory, obscene, offensive, or inflammatory;
  • bully, insult, or intimidate;
  • include inappropriate sexual content;
  • promote discrimination or illegal activity;
  • infringe intellectual property rights;
  • be deceptive or breach duties of confidence;
  • contain advertising or promotional material.

If you find unacceptable content, please notify us at info@mabelcare.com with the subject "Unacceptable Content".

Suspension and Termination

We may suspend or terminate your access for breaches of these Terms. You may terminate by deleting your account and ceasing use of the Platform.

Upon termination:

  • all rights granted cease;
  • you must cease all authorised activities;
  • you must delete your account.

Platform Services

  1. Mabel provides care matching services, allowing Users to search for Care Partners and arrange consultations.
  2. We provide Services to Consumer Users with reasonable skill and care.
  3. We grant you a non-exclusive, non-transferable licence to use the Platform.
  4. Access is temporary and we may withdraw the Platform at any time.
  5. Registration is required for active participation.
  6. We are not liable to Care Partners for Platform unavailability.
  7. You are responsible for your access arrangements and ensuring compliance with these Terms.

Care Seeker - Care Partner Relationship

  1. All Content is for educational and informational purposes only. We do not provide Care Services directly.
  2. We make no warranties about Content accuracy, Care Partner qualifications, or service quality.
  3. We do not evaluate or recommend Care Partners - you choose your own.
  4. Any Care Services are directly between you and the Care Partner.
  5. Telephone numbers may be tracked and recorded for quality and training purposes.
  6. Complaints about Care Partners must be addressed directly with them, not with Mabel.
  7. Content does not constitute professional advice and must not substitute for professional referrals.
  8. You should perform due diligence on Care Partners, including checking with regulatory bodies like the Care Quality Commission.

Changes to These Terms

We may revise these Terms at any time. Continued use after changes constitutes acceptance of modified terms.

Your Account and Password

  1. Keep login information confidential.
  2. We may disable accounts for non-compliance with Terms.
  3. Notify us immediately if you suspect unauthorised access.

Your Privacy and Personal Data

Personal data is processed according to our Privacy Policy, explaining what data we collect, how we use it, and your rights.

Intellectual Property Rights

  1. We own or license all intellectual property in the Platform and Content.
  2. "Mabel" is our trademark.
  3. You may print pages for personal use only.
  4. You must not modify copied materials or use them commercially.
  5. Our authorship must always be acknowledged.

Limitation of Our Liability

  1. Nothing excludes liability for death, personal injury from negligence, or fraud.
  2. We are not liable for Consumer Users' failure to receive Services with reasonable care and skill.
  3. We bear no liability for Care Partner negligence or licensing failures.
  4. Users are solely responsible for Platform use and results obtained.
  5. We are not liable for loss or damage from Platform use, virus infections, or linked websites.
  6. Consumer Users accept the Platform is for domestic use only.
  7. Our maximum aggregate liability is limited to £25,000.

Transfer of Rights and Obligations

You may not transfer these Terms. We may transfer our rights and obligations.

Linking to Our Platform

You may link to our home page if done fairly and legally. You must not suggest association or endorsement where none exists, or frame our Platform on other sites.

Third Party Links

Links to third-party sites are for information only. We have no control over and accept no liability for third-party content.

Uploading Content

You must comply with Content Standards when uploading content. You grant us a perpetual, worldwide licence to use uploaded content in connection with our Services.

General Terms

  1. Communications: We may communicate electronically.
  2. Severance: Invalid terms will be severed without affecting remaining terms.
  3. Waiver: Our failure to enforce terms does not constitute waiver.
  4. Third Party Rights: Only group companies have third-party rights.
  5. Entire Agreement: These Terms constitute the whole agreement.

Complaints/Disputes

  2. You may use alternative dispute resolution through Centre for Effective Dispute Resolution (CEDR) at https://www.cedr.com/.
  3. Court proceedings remain available subject to clause 16.7.
  4. Governing Law: These Terms are governed by English law and subject to English court jurisdiction.
